The Board of Directors of Achieva Ltd. (the
"Company" or "Achieva" and together with its subsidiaries, the "Group") wishes to
announce that it had entered into a conditional Sale and Purchase Agreement
(the "Sale Agreement") with Arrow Electronics, Inc. of the U.S.A. (the "Purchaser"
or "Arrow") whereby the Company agreed to sell to the Purchaser its entire
shareholding interests in its wholly-owned subsidiaries, Achieva Components Pte
Ltd and Achieva Electronics Pte Ltd.

Singapore -- Main board-listed Achieva Limited ("Achieva" or "the Group"), one of Asia Pacific's top knowledge-based, value-added distributors and solutions providers focusing on electronics and IT-related products, continues its profitable turnaround with S$2.5 million net profit for year ending December 31, 2004 ("FY2004"). On a pre-tax level, Achieva recorded a profit of S$4.0 million, up 22% from last year on revenue of S$583.9 million. The Group's revenue increased 12% from last year.
